MyAutoData (MAUD) – Terms & Conditions for Marketplace Partners

1. Scope and Parties

1.1 These Terms govern the relationship between MyAutoData GmbH (Munich, Germany) and/or MAUD Inc. (USA) (collectively “MAUD”) and business customers (“Marketplace Partner”).

1.2 These Terms apply exclusively to business entities (B2B).

1.3 Deviating terms of the Marketplace Partner do not apply unless explicitly agreed.

2. MAUD Platform Overview

2.1 MAUD operates a consumer-controlled data platform (“Data Vault”) where end-users (“Users”) manage:

  • Vehicle data
  • Mobility behavior
  • Financial and service data
  • Trip and driving behavior via mobile app

2.2 Data is collected via:

  • Smartphone sensors (GPS, motion, usage)
  • Connected services integrations
  • User inputs

No hardware or dongle is required.

2.3 MAUD processes this data to generate:

  • Driver Score
  • Eco Score
  • Reward Score

These are used internally only and are not sold as raw behavioral profiling.

3. Data Ownership and Consent

3.1 All data remains property of the User.

3.2 Marketplace Partners only receive access where:

  • Users have given explicit, granular consent
  • Data is released for specific purposes

3.3 MAUD acts as:

  • Data trustee
  • Platform operator
  • Consent manager

4. Marketplace Functionality

Marketplace Partners can access data through:

a) Data Queries

  • Aggregated or pseudonymized datasets
  • Filtered by attributes such as vehicle, usage, demographics, etc.
  • Pricing based on query scope

b) Leads

  • Users expressing active interest in products/services
  • Delivered initially anonymized

c) Messaging

  • Communication only via MAUD internal messaging system

5. Data Usage Rights

5.1 Marketplace Partners receive a:

  • Non-exclusive
  • Non-transferable
  • Non-sublicensable

right to use data.

5.2 Restrictions:

  • No data resale
  • No external export of personal data
  • No profiling beyond agreed scope
  • No direct marketing without user interaction

5.3 Personal data:

  • Must remain within MAUD platform unless explicitly unlocked
  • Access is time-limited by default to 7 days

6. Compliance and Data Protection

6.1 Marketplace Partners act as independent data controllers.

6.2 They must comply with:

  • General Data Protection Regulation
  • Applicable local privacy laws, including U.S., UK, and others where relevant

6.3 Obligations include:

  • Transparency toward users
  • Respect of data subject rights
  • Immediate action upon consent withdrawal

7. User Interaction Rules

7.1 First contact must occur via:

  • MAUD internal messaging system

7.2 Direct contact, including email or phone, is only allowed if:

  • User explicitly engages with a specific offer

7.3 No unsolicited outreach outside the platform.

8. Commercial Terms

8.1 Pricing:

  • Based on data query scope or lead acquisition

8.2 Payments:

  • Due immediately upon purchase
  • Processed via third-party providers, such as Stripe

8.3 All prices are net of applicable taxes.

9. Platform Availability

9.1 Target availability: 98% annually

9.2 No guaranteed uptime.

9.3 MAUD may:

  • Modify features
  • Improve algorithms
  • Adjust marketplace logic

10. Liability

10.1 MAUD is not responsible for:

  • Accuracy of user-provided data
  • Completeness of trip records
  • Business outcomes of Marketplace Partners

10.2 Liability limited to:

  • Intentional misconduct
  • Gross negligence

11. Confidentiality

11.1 Marketplace Partners must keep confidential:

  • Data structures
  • Pricing models
  • User data

11.2 Obligation continues 5 years after termination.

12. Term and Termination

12.1 Open-ended agreement.

12.2 Termination:

  • By Partner: anytime
  • By MAUD: 14 days notice

12.3 Immediate termination possible for:

  • Misuse of data
  • Legal violations

13. Suspension

MAUD may suspend accounts in case of:

  • Payment default
  • Security risks
  • Regulatory concerns

14. Data Deletion

Upon termination:

  • All user data must be deleted
  • Access rights immediately expire

15. Amendments

MAUD may update Terms with:

  • 6 weeks prior notice
  • Right to object

16. Governing Law

  • EU Partners → German law, Munich jurisdiction
  • Non-EU Partners → Florida law, USA

17. Final Provisions

  • Invalid clauses do not affect remainder
  • English version governs international use
